Non-recourse liquidity against listed shares.

Prefunded facilities for significant shareholders, public companies and institutions.

Capital first

Silo funds first.

Before a single share moves, Silo’s capital is in an account opened in your own name at a licensed broker-dealer, where you can see it. The four documents that govern the facility are with your counsel before you sign. No fee of any kind until funds are released. No recourse beyond the shares you pledge, and nothing taken beyond them. The sequence is the product.

Twelve questions to put to any securities-backed lender

Use this before any listed shares move. Ask every provider the same twelve questions, in writing, and compare the written answers. A lender that will not answer in writing has answered.

  1. 01Are you the principal lender or an intermediary?
  2. 02Who are you, and with whom can I verify it?
  3. 03Is the capital in place before my shares move, and can I see it?
  4. 04Are any fees payable before funding?
  5. 05Is the facility non-recourse? Show me the clause, and everything that undoes it.
  6. 06Term, advance, pricing and exit: in one document, together?
  7. 07What triggers a collateral event, and what happens then?
  8. 08What happens at maturity?
  9. 09Who holds my shares, under what agreement, and what must you return to me?
  10. 10What may you do with my shares during the term, and where is it written?
  11. 11Who receives dividends and votes during the term?
  12. 12What disclosures might my pledge trigger, and will you work to my counsel’s timetable?

This checklist applies to every lender, including Silo.
